Galaxy Cars Auctions LLC – Online Consignment Agreement

Effective Date: By creating an account, you (“User”) agree to the following terms with Galaxy Cars Auctions LLC (“Company”).

1. Acceptance
   By registering as a Buyer or Seller on the Galaxy Cars Auctions platform, you confirm that you have read, understood, and agreed to this Online Consignment Agreement. This agreement applies to all transactions conducted through the platform.
2. User Account
   • Users must provide accurate personal, company, and vehicle information when registering.
   • Sellers must ensure they have legal ownership of the vehicles consigned and that vehicles are free from liens, encumbrances, or legal disputes.
   • Buyers and Sellers are responsible for maintaining the confidentiality of their account credentials.
3. Consignment of Vehicles (For Sellers)
   • Sellers agree to consign vehicles for auction on the Company’s platform.
   • Sellers may set a reserve price (minimum acceptable sale price). Vehicles not meeting the reserve price may not be sold.
   • Sellers must provide all required documents for vehicle sale, transfer, and ownership verification.
4. Auction Process
   • The Company facilitates online and live auctions, including listing, marketing, and sale processing.
   • The Company reserves the right to refuse vehicles that do not meet platform standards.
   • All auction results are final and binding, subject to payment completion.
5. Fees and Commission
   • The Company charges a commission on each successfully sold vehicle, as per the platform’s commission schedule.
   • Any additional fees (marketing, documentation, administration) are the responsibility of the Seller.
6. Payments
   • Payments to Sellers are made after the successful sale and receipt of funds from Buyers, within the timeframe specified on the platform.
   • Buyers must complete full payment for purchased vehicles as per platform instructions.
7. Delivery and Risk
   • Sellers are responsible for delivering vehicles to the designated location.
   • Risk transfers from Seller to Buyer upon confirmed delivery or platform-specified transfer conditions.
   • The Company exercises reasonable care but is not liable for damage from unforeseen events during storage, transport, or auction.
8. Representations and Warranties
   • Sellers warrant legal ownership and accurate vehicle disclosure.
   • Buyers and Sellers agree to comply with all applicable laws, regulations, and platform policies.
9. Termination
   The Company may suspend or terminate user accounts for breach of this Agreement or violation of platform rules. Termination does not affect completed transactions.
10. Dispute Resolution
    • Users agree to first attempt resolution through the Company’s internal dispute resolution process.
    • Any unresolved dispute is governed by the laws of the United Arab Emirates, with jurisdiction in Dubai courts.
11. Acknowledgment
    By clicking “I Agree” during account registration, the User confirms they have read, understood, and agreed to this Online Consignment Agreement. This acceptance has the same legal effect as signing a written contract.
